Notes:

1. Vergelijk ‘statuten’ met ‘huishoudelijk reglement.
De ‘statuten’ van Nederlandse ondernemingen zijn inclusief de oprichtingsakte, dus inclusief de (BrE) Memorandum of Association / (AmE) Charter / (AmE) Articles of Incorporation, waarin de bedrijfszetel, doel van de onderneming, kapitaal en eventueel aandelenaantal staan vermeld; ze omvatten ook het ‘huishoudelijk reglement’ met meer procedurele informatie over de dagelijkse bestuur van het bedrijf.
(BrE) Memorandum of Association (vgl. Ned. akte van oprichting) met bedrijfsnaam, zetel, doel, ingelegd kapitaal
(BrE) Articles of Association (vgl. Ned. statuten) moeten ook worden geregistreerd
(AmE) Articles of Incorporation (vgl. Ned. akte van oprichting) met bedrijfsnaam, karakter v/h bedrijf, worden apart geregistreerd. De Articles of Incorporation bevatten overigens meer informatie dan de Nederlandse oprichtingsakte. Ze bevatten ook een deel van de informatie die in Nederlandse ‘statuten’  zijn opgenomen (zie hierboven).

(AmE) bylaws (i.t.t. Ned. statuten) hoeven niet te worden geregistreerd. Ze bevatten een deel van de gegevens die ook in Nederlandse statuten zijn opgenomen, en daarbij ook nog het in Nederland in een afzonderlijk document opgenomen ‘huishoudelijk reglement’.
Vanwege de afwijkende betekenis van (BrE) byelaws (= ‘gemeentelijke verordeningen’) wordt, m.b.t. internationaal opererende bedrijven, voor (AmE) bylaws soms de term company bylaws gebruikt.

(AmE) chartered , incorporated = (1) opgericht, (2) statutair gevestigd
(1): “the company was chartered/incorporated in 1986”
(2) “the comany is chartered offshore”

2. (AmE) realtor is de term voor een Amerikaanse makelaar in onroerend goed die lid is van de National Association of Realtors (link) ; in het dagelijks spraakgebruik is het woord synoniem met real estate agent.
Vergelijk ook (AmE) synoniemen: estate agent, real estate broker.

3. Kamer van Koophandel
De Nederlandse Kamer van Koophandel vervult niet precies dezelfde functie als de (BrE) en (AmE) Chamber of Commerce.
Het Britse en Amerikaanse Chamber of Commerce vervult een belangrijke plaatselijke, regionale en landelijke netwerkfunctie binnen het bedrijfsleven en bevordert de belangen van het plaatselijke bedrijfsleven naar buiten. 

Het deponeren van een oprichtingsaktes en/of statuten en het inschrijven in het Handelsregister (BrE: Register of Companies) wordt in Nederland ook door de Kamer van Koophandel verzorgd. In het Verenigd Koninkrijk gaat dat via een afdeling van het Ministerie van Economische Zaken (Department for Business, Enterprise and Regulatory Reform), het Companies House(link).

In de VS wordt bedrijfsinformatie van maatschappen en niet-beursgenoteerde vennootschappen (bijv. LLC) gedeponeerd bij de (AmE) Secretary of State van elke staat waar het bedrijf voornamelijk actief is. Beursgenoteerde vennotschappen (public corporations = public limited companies = PLCs) moeten bij de Securities and Exchange Commission (SEC) worden geregistreerd.

(BrE) Board of Trade is de voormalige naam van het Britse Ministerie van Economische Zaken (in 1970 samen met het Ministry of Technology opgegaan in het Department of Trade and Industry, sinds 2009 het Department for Business, Innovation and Skills genaamd).

(AmE) Board of Trade is deels vergelijkbaar met (Ned) Kamer van Koophandel.

(AmE) Chamber of Commerce heeft ook de functie van toeristenbureau / VVV; in AmE ook wel aangeduid met Chamber of Commerce and Visitors Bureau / Chamber of Commerce and Visitors Center/ Chamber of Commerce and Visitors Authority, etc.; het verschil met een Nederlandse VVV is wel dat het (AmE) Chamber of Commerce, naast de informatieverstrekking aan toeristen, een belangrijke functie vervult als public-relationsnetwerk- en informatiebron voor leden uit het bedrijfsleven (dus óók een functie als plaatselijke Kamer van Koophandel), en een machtige lobbyorganisatie die de belangen van het bedrijfsleven in de politiek vertegenwoordigt, in Washington (DC). De betekenis van (AmE) Chamber of Commerce op lokaal niveau is vaak “bezoekers(informatiecentrum), informatiecentrum van het plaatselijk bedrijfsleven, bezoekerscentrum van de plaatselijke middenstand”, of zelfs, naar de Nederlandse situatie ‘gelokaliseerd’: “VVV”, “toeristenbureau”. 

Voorbeelden (AmE) Chamber of Commerce = overkoepelende organisatie voor het bedrijfsleven:

Vertalersdilemma’s:
De vertaling van Chamber of Commerce met “Kamer van Koophandel” ligt voor de hand maar is niet correct en levert geen herkenbaar beeld op bij de Nederlandse lezer.
Voorbeeld:

4. winkel: shop/store
(BrE) shop: algemene term voor ‘winkel’
(BrE) store: (1) grote winkel, warenhuis (department store) of (2) meestal in de meervoudsvorm: voorraad/voorraden (AmE:stock).


(AmE) store = algemene term voor ‘winkel’, zoals in: grocery store (= drogisterij, maar vaak ook ‘supermarkt’), tobacco store, bookstore, jewelry store, shoe store, dry good store, dime store, thrift store, second-hand store, drugstore, package store (= liquor store)

(AmE) shop = (1) een ‘werkplaats’ of (2) ‘specialistisch winkeltje’. De betekenis hangt af van de context, en kan dus tot verwarring leiden. Een (AmE) shoe shop kan naar een (‘duurdere’) schoenenwinkel (= specialty shop) verwijzen, maar ook naar een plaats waar schoenen worden gemaakt of gerepareerd (= shoe repair shop).
(AmE) shop = verkoop van ‘diensten’ i.p.v. goederen zoals in: bridal shop, repair shop, beauty shop, coffee shop, barber shop, print(ing) shop, legal shop (“his one-room legal shop in an office space that he’d shared with six other attoneys”), shoe shop (voor reparatie i.p.v. verkoop: “the shoe shop was no longer there; it was now a liquor store“)

aar ook i.g.v. kleinere specialistische, exclusievere (vaak duurdere) winkeltjes: flower shop, antique shop, gift shop, second-hand book shop (i.p.v. bookstore), sandwich shop, coffee shop (koffiehuis, soort ‘diner’) .
Een (AmE) haberdashery (herenmodezaak) is ook een shop.
(AmE) shop wordt vaak gebruikt in de betekenis van ‘werkplaats’ of ‘garage’ (voor reparaties, operaties, handwerkzaamheden, etc.): medical examiner’s shop (ME’s shop), blacksmith shop, etc.
H.L. Mencken, in The American Language van (1967 editie), beschrijft de veranderende betekenis van (AmE) shop:
“Before 1900 shop, in America, always meant a workshop, but about 1905 the small, expensive stores of the larger American cities began turning themselves into shops. Today [1967] the word designates a store dealing in a limited range of merchandise, as  opposed to a department store; indeed, shop and specialty shop are interchangeable. Every American town of any pretentions now has gift shops (or shoppes), book shops, hat shops, tea shops, luggage shops and candy shops. [The tonier drugstores of Madison and Lexington avenues in New York are often chemist shops, and, unlike most American drugstores, largely confine themselves to pharmaceutical supplies.] But the plain people continue to call a shop a store, though they use shopping and shopper.” (pagina’s 309 – 310)

Norman Schur (in British English A to Zed, 2007) noemt het voorbeeld van een voor Amerikanen verwarrende aanduiding die je in veel Britse dorpjes tegenkomt: “‘post office and stores’, where stores means ‘provisions and supplies’.” (p. 351)
(BrE) shop in de betekenis van workshop (‘werkplaats‘) komt alleen voor in combinatie met een ander woord, zoals in machine shop, etc.

Historisch: het gebruik van “store” in BrE.
In (BrE) geschriften van of
over de 19e eeuw komt “store” ook nog ivoor in de betekenis van een oorspronkelijk coöperatieve overheidswinkel/warenhuis. In het boek London of To-Day van Charles Eyre Pascoe (1896) worden de belangrijkste “shops” van Londen beschreven (p. 375 ff), zoals Debenham and Freebody’s, en daarnaast wordt er een apart hoofdstukje gewijd aan “the stores” (p. 429 ff.): Originally started on co-operative principles, some thirty years ago, by a few economical officials of the Post Office, the “Stores” have long ceased to have any real connection with the co-operative system (…) and are neither more nor less than general trading establishments, formed on limited liability lines (…) offering facilities of buying, not merely to duly qualified shareholders, but to all who, by the purchase of a half-crown ticket , (…) constitute themselves members of such stores. (…) So far as our experience warrants an opinion, we admit their usefulness for the purchase of articles of daily consumption in the household. (;…) The Junior Army and Navy Stores, York House, Regent Street, invites travellers from the Colonies and America to avail themselves of the shopping facilities it affords. (…) The several departments, arranged under one roof, exhibit articles multifarious, adapted to every requirement, personal or domestic (...).
In een latere editie van London of To-Day (1903), gebruikt Pascoe, die 20 jaar voor een Amerikaanse uitgever werkte, en die zich in zijn boek over Londen ook tot een Amerikaans publiek richtte, het woord “store” in min of meer dezelfde betekenis als “shop”. Deze editie heeft een apart hoofdstukje, getiteld “Some other Shops and Stores” (pp. 508 ff.): “To a bookish man, the more interesting of London’s shops are those of the booksellers. Among the number of these, the store which makes a show of very choice and rare books (…) will be found the most interesting of any.A second glance of the contents of the windows of Robson & Co.’s store, 23, Coventry Street, Piccadilly, will probably act as an invitation to walk within (…).

N.B. In het Nederlands kon ‘winkel’ voorheen ook ‘werkplaats’ betekenen.
In de Gids voor Reizigers door Nederland van P.H. Witkamp (1847) beschreef de auteur de “werkplaatsen der aritillerie” in Delft uit die tijd. Deze bestonden uit een ‘constructiewinkel (waarin een smederij), een draaijerij, timmermanswinkel,wagenmakerij, en een geweerwinkel, “allen van ruimen omvang en ten deele voorzien van belangrijke stoomwerktuigen” (p. 249).

– You can hire something for a short period of time (BrE only), but rent something for a longer period (…).
– In NAmE, rent is always used. It is sometimes now used in BrE instead of hire, too.
– The owners of a thing can hire it out for a short period : (BrE) Do you hire out bikes? Or they can rent (out) / let (out) a building, etc. (…)
– Outside a building you could see: (BrE) To let x (especially NAmE) For rent.
– To hire can also mean to employ somebody, especially in NAmE.
– The amount of money that you pay to rent something is rent or rental (more formal). When you hire something you pay a hire charge (BrE). On a sign outside a shop you might see: (BrE) Bikes for hire.

(AmE) officer (= executive officer = executive) = (BrE) Managing Director

Omdat een uitvoerend directeur in AmE meestal Executive Officer (i.p.v. Director) wordt genoemd, verwijst (AmE) Director bijna automatisch naar een toezichthoudende (non-executive) directeur. De toevoeging Non-Executive is dan overbodig. Wel kent het Amerikaans- Engels de meer expliciete aanduiding “outside director” voor een lid van de Raad van Commissarissen.

In BrE worden de directeuren met een uitvoerende taak  soms ook wel Executive Directors of (net als in AmE) Executive Officers genoemd. De toezichthoudende directeuren heten dan (BrE) Non-Executive Directors.

Angelsaksische (Amerikaanse en Britse) bedrijven hebben een enkel-laagse (=single-tier) Raad van Bestuur (= Board of Directors), zonder daarbij nog een aparte Raad van Commissarissen (= Board of Supervisory Directors / Board of Supervisors) zoals bijv. Nederlandse bedrijven die wél hebben.

In de (BrE/AmE) Board of Directors zitten zowel uitvoerende directeuren, die deel uitmaken van het dagelijks bestuur (= the executive management, executive board, of kortweg: the executive) als toezichthoudende, beleidsbepalende en –controlerende  (= non-executive) directeuren.

13. bedrijf (oprichten) = company / corporation / firm / enterprise / undertaking / entity
(BrE) company = vennootschap, besloten of naamloos (Ltd / Plc), waarvan de oprichtingsakte en statuten zijn geregistreerd bij het
Companies House.
(AmE) company = een bedrijf, meestal een vennootschap, met de afkorting Inc. achter de bedrijfsnaam, voor zowel besloten als naamloze vennootschappen. Het registreren van een rechtspersoon (bedrijf) gebeurt in de Verenigde Staten bij de Secretary of State van elke staat waar men actief is. Zie ook de info onder Secretary of State en onder de voetnoot bij Kamer van Koophandel (noot 3 hierboven).

Het onderscheid qua aanduiding (afkorting) tussen BV en NV of het Britse Ltd en Plc bestaat in de VS niet. Het onderscheid wordt gevormd doordat een beursgenoteerde vennootschap (in het Nederlands dus een NV) in de VS zich moet laten registreren bij het de Securities and Exchange Commission (SEC). Een Amerikaanse registered company moet aan de strenge accountantsregels van het SEC voldoen.

Privately held company = (Ned.) besloten vennootschap, BV

(BrE) corporation = (1) grote vennootschap, die is geregistreerd in de Register of Companies; (2) gemeentelijke apparaat/organisatie/bestuur
(AmE) corporation =  vennootschap (an incorporated company), al dan niet beursgenoteerd: Inc.
Tijdens zijn bezichtiging van het “factory system” in het Amerikaanse stadje Lowell in 1842, noteerde Charles Dickens deze specifiek Amerikaanse betekenis al: “There are several factories in Lowell, each of which belongs to what we should term a Company of Proprietors, but what they call in America a Corporation.” (American Notes, hoofdstuk 4)

Voorbeelden (AmE) corporation = (AmE) company:
– Each of the four was the CEO of a large public corporation. Each corporation was in the Fortune 500, each was traded on the NYSE. The smallest had sales last year of six hundred million, the largest, four billion. Each had record profits, large dividends, happy stockholders, and CEO’s who earned millions for their performances. (John Grisham, Runaway Jury, chapter 2)
– a public company, traded on NASDAQ. You’ve probably heard of it. I’m Vice President for Operations’ for SuperHouse, Ben here is regional VP. (John Grisham, Runaway Jury, chapter 9)
a privately held company (Grisham, The Associate)

(BrE) firm (= small- or medium-sized company) = (AmE & BrE) business (ook dienstverlenend), company (meestal industrieel), meestal voor een middelgroot of klein bedrijf , zowel dienstverlenend als industrieel (bijvoorbeeld: manufacturing firm, shipping firm, engineering firm).
(AmE) firm: dienstverlenend, kantoorhoudend bedrijf (law firm, accountants firm, architects firm, medical firm, recruiting firm, advertising firm, etc.)
Vergelijk (BrE) firm met het Nederlandse ‘firma’ (= soort maatschap waarbij de partners hoofdelijke aansprakelijk blijven), en (AmE) corporation = (Ned.) BV of NV, een vennootschap zonder hoofdelijk aansprakelijkheid.

(BrE/AmE) undertaking = onderneming (a business / enterprise), een wettelijke term voor alle soorten bedrijven met winstoogmerk: vennootschap (company), maatschap (partnership), unincorporated association, etc.

Voorbeeld (AmE) undertaking = onderneming / to undertake = (ook) aannemen:
– I am informed of the recent activities of my sons. I am not pleased with their undertaking. (Steve Martini, The Arraignment, chapter 31)

entity = (voorheen) enterprise: de term die in de Internationaal Financial Reporting Standards (IFRS) wordt gebruikt voor elk soort bedrijf (maatschap, firma, vennotschap, etc.)
legal entity = rechtspersoon (natural entity = natuurlijk persoon)

Amerikaanse bedrijfsstructuren, rechtspersonen:
(AmE) Inc (Incorporated) = (BrE) Plc, plc, PLC (= public limited company)
(AmE) LLC (limited liability company) = (BrE) Ltd (= limited liability company)
(AmE) LLP (Limited liability partnership), in een aantal staten van de VS = maatschap (met beperkte aansprakelijkheid voor de partners zoals advocaten, artsen, adviseurs, architecten en accountants. Vergelijk general partnership (maatschap waarbij elke partner hoofdelijk aansprakelijk is).
